1. Agreement and eligibility
By creating a client profile, purchasing a service, or using the client workspace, you agree to these Terms and the policies linked from them. You must be at least 18 years old and authorized to act for the business or organization you represent.
If a separate written proposal, statement of work, or service agreement conflicts with these Terms, the separately signed agreement controls for that engagement.
2. Client accounts
You are responsible for providing accurate information, maintaining access to the email address used for passwordless login, and promptly notifying AscentWell of suspected unauthorized access. You may not use another person's identity or client workspace without permission.
3. The Clarity Report
The Clarity Report is a customized business assessment for owners and authorized business leaders who want to understand and optimize how their company operates. It is based on the completed online Clarity Questionnaire, information and materials available during the engagement, AscentWell analysis, and the private Clarity Review. It identifies observations, strengths, gaps, priorities, and potential next steps. The report is not an audit, certification, valuation, guarantee, or substitute for advice from a licensed legal, tax, accounting, investment, insurance, or other regulated professional.
Clients should complete the questionnaire during the first seven days after purchase and schedule an available 45-minute Clarity Review occurring within the 14-day engagement window. A submitted questionnaire becomes a protected working version so analysis begins from one stable source. Reasonable scheduling exceptions may be arranged directly with AscentWell.
A standard full refund is available only when requested within 30 calendar days after purchase and before the Clarity Questionnaire is finally submitted, the Clarity Review occurs, or the client separately asks AscentWell to begin substantive work. Final questionnaire submission expressly authorizes report preparation and ends the standard refund period. Inactive engagements pause after 30 days; the payment remains available as a service credit through day 90 before administrative closure, subject to the Cancellation & Refund Policy and rights that cannot legally be waived.
The Clarity Report is a one-time $500 service that stands on its own. If further work would help, AscentWell provides a separate written proposal with its own scope and price. Nothing begins until you accept one.
4. Other services
Before AscentWell prepares a new Operating System proposal, the client must complete the Business Clarity Report. The report maps the business's operating context, needs, goals, and priorities so any proposed system can be scoped around the business rather than assumptions. The report is a standalone service; completing it does not require the client to accept an Operating System proposal.
Operating Systems, software, automation, focused builds, ongoing support, and other services require a separate scope and price. No additional service is included unless it is clearly listed in writing. Project timelines may depend on client responsiveness, third-party services, technical constraints, and the accuracy of information supplied.
When an Operating System proposal includes a 14-day pilot, the pilot begins when the agreed system is activated and client access is provided. Any recurring billing begins only after the pilot under a separately accepted proposal or service agreement that identifies the price, billing schedule, first charge date, and cancellation terms. Purchasing a Clarity Report alone does not authorize recurring Operating System charges.
5. Payment, scheduling, and client responsibilities
- Fees are due as shown at checkout or in the applicable written agreement. Applicable taxes may be added where required.
- You agree to provide timely, accurate, and reasonably complete information needed for the engagement.
- Scheduled meetings may be changed under the Cancellation & Refund Policy. A 24-hour notice standard applies to rescheduling.
- Final Clarity Questionnaire submission authorizes AscentWell to begin customized research and analysis and ends the standard refund period, even when submission occurs within 30 days after purchase.
- You are responsible for reviewing deliverables and raising questions or factual corrections within a reasonable period.
6. AI-assisted analysis
AscentWell may use AI-assisted tools for organization, research support, pattern recognition, and drafting. The engagement remains human-led, and final recommendations are reviewed before delivery. AI-assisted output can be incomplete or incorrect and is evaluated alongside client context and professional judgment.
7. Ownership and permitted use
You retain ownership of the information and materials you provide. You grant AscentWell permission to use those materials as reasonably necessary to perform the engagement.
After full payment, you may use your delivered Clarity Report for your own internal business purposes. AscentWell retains ownership of its pre-existing methods, templates, frameworks, software, prompts, system architecture, know-how, and general tools. The report may not be resold, republished as another provider's work, or used to create a competing product without written permission.
8. Confidentiality
AscentWell will use reasonable care with non-public business information provided for an engagement and will use it only for service delivery, operations, security, or legal needs. Confidentiality does not apply to information that is public, already known without restriction, independently developed, lawfully received from another source, or required to be disclosed by law.
9. Third-party services
The website and services may depend on third-party platforms such as Stripe, Supabase, Calendly, Resend, Google, Zoom, hosting providers, and tools selected for a client's system. Those services have their own terms, availability, and privacy practices. AscentWell is not responsible for a third party's independent outage, policy, or action, but will use reasonable efforts to address issues within our control.
10. No guaranteed outcome
Business results depend on decisions, implementation, market conditions, client participation, and factors outside AscentWell's control. We do not guarantee revenue, savings, growth, security, compliance, funding, or any specific business outcome.
11. Limitation of liability
To the fullest extent permitted by law, AscentWell will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from the website or services. AscentWell's aggregate liability for a claim will not exceed the amount you paid for the specific service giving rise to that claim. These limitations do not apply where the law does not allow them.
12. Suspension and termination
AscentWell may suspend access or end an engagement for nonpayment, misuse, unlawful activity, security risk, harassment, material breach, or failure to provide information required to continue. Any payment or delivery obligations that accrued before termination remain in effect.
13. Governing law and concerns
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Before filing a formal claim, you and AscentWell agree to make a good-faith effort to resolve the concern directly, unless immediate legal relief is necessary.
